Terms of Service

Effective Date: August 4, 2026

Welcome to MaMi. These Terms of Service govern your use of our website and all of our services, including dining reservations, online ordering, catering, private events, gift cards, the MaMi Social Club, and our loyalty program. Please read them carefully, as they affect your legal rights.

1. Acceptance of These Terms

These Terms of Service (these "Terms") govern your access to and use of the MaMi Hospitality website located at mami-hospitality.com (the "Site"), the MaMi mobile application, if any (the Site and the application, together, the "Services"), and any reservations, orders, catering arrangements, private event bookings, gift card purchases, Social Club memberships, loyalty rewards, and other products or services offered by MaMi Hospitality LLC ("MaMi," "we," "us," or "our"). By accessing, browsing, registering for, or otherwise using the Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms or conditions that may apply to specific features, promotions, or offerings (collectively, the "Agreement"). If you do not agree to all of these Terms, you may not access or use the Services. Your use of the Services constitutes a continuing acceptance of these Terms. If any specific terms communicated to you in connection with a particular order, reservation, event agreement, or membership conflict with these Terms, those specific terms shall control with respect to that transaction only.

2. Definitions

In these Terms: "User," "you," or "your" refers to any individual who accesses or uses the Services, whether or not registered. "Content" means all text, graphics, images, logos, audio, video, software, data, and other materials available on or through the Services. "Order" means any request for food, beverages, catering, gift cards, memberships, or other products or services submitted through the Services. "Member" means any individual who has applied for and been accepted into the MaMi Social Club. "Event" means any private event, gathering, buyout, or function held at or catered by MaMi. "Payment Processor" means the third-party payment provider used to process transactions through the Services. "Premises" means any physical location owned, leased, or operated by MaMi, including the restaurant and any event or off-site venue at which MaMi provides services. "Rewards" means any points, credits, perks, or benefits offered through the MaMi loyalty program.

3. Eligibility and Authority to Agree

You represent and warrant that you are at least eighteen (18) years of age (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into a binding contract. If you are using the Services on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" includes that entity. You further represent that you are not prohibited from receiving our products or services under applicable law, and that all information you provide to us is accurate, current, and complete. We may, in our sole discretion, refuse service, terminate accounts, or cancel orders at any time and for any reason, including where we believe a user has violated these Terms or applicable law.

4. Accounts and Registration

Certain features of the Services may require you to create an account or provide contact information. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are solely responsible for maintaining the confidentiality of any account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to comply with these obligations. You may not transfer or assign your account to any other person. We reserve the right to suspend or terminate any account that is inactive, that we believe has been compromised, or that we determine has violated these Terms.

5. Use of the Services

You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Services. Prohibited conduct includes, without limitation: (a) using the Services in any manner that could damage, disable, overburden, or impair any server, network, or system; (b) attempting to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks; (c) using any robot, spider, scraper, or other automated means to access or collect data from the Services; (d) interfering with or disrupting the operation of the Services; (e) submitting false, misleading, or fraudulent information; (f) using the Services to transmit any unlawful, harassing, libelous, defamatory, threatening, harmful, or otherwise objectionable material; (g) collecting or storing personal information about other users; (h) reproducing, duplicating, copying, selling, reselling, or exploiting any portion of the Services without our prior written consent; and (i) using the Services in violation of any applicable law, regulation, or third-party right. We may investigate and take appropriate legal action against any misconduct we become aware of.

6. Right to Refuse Service and Removal from Premises

We reserve the right to refuse service to any person, at any time, for any reason permitted by law, including where a person is or appears to be intoxicated, is disruptive, is abusive or threatening toward staff or other guests, is engaging in unlawful conduct, is violating these Terms, or is otherwise creating a safety or operational concern. We also reserve the right to require any person to leave the Premises, to cancel any reservation, order, or event, and to decline future service. Our staff are authorized to make these determinations in their discretion, and their decisions are final. We are not obligated to provide a reason for refusing service or requiring removal, and we are not liable for any such refusal or removal except where prohibited by law. No refund is owed for service refused due to a guest's conduct, except where required by law. We may involve law enforcement where we believe it is necessary for safety or to address unlawful conduct.

7. Reservations

Reservation requests submitted through the Services are requests only and are subject to availability and confirmation by MaMi staff. A reservation is not confirmed until you receive a confirmation from us. We reserve the right to decline, modify, or cancel any reservation at our sole discretion, including for overbooking, operational needs, or conduct concerns. Seating is subject to availability, and we cannot guarantee specific table assignments. We may impose a holding period for your table; if you do not arrive within that period, we may release your reservation. Large-party reservations may be subject to a minimum spend, automatic gratuity, or a deposit, which will be disclosed at the time of booking. You agree to provide accurate party-size and contact information and to notify us promptly of any changes. Repeated no-shows or late cancellations may result in restrictions on your ability to make future reservations.

8. Cancellations and No-Show Policy

For standard reservations, cancellations should be made at least twenty-four (24) hours in advance. For large parties, special occasions, or high-demand dates, we may require a longer notice period or a deposit, which will be communicated at the time of booking. If you fail to arrive or cancel within the required window, we may charge any applicable no-show fee or retain any deposit. For private events and catering, cancellation and refund terms are governed by the applicable event agreement or catering terms, which may include forfeiture of deposits and liability for costs incurred. We are not obligated to issue refunds for cancellations made outside the applicable window except where required by law.

9. Online Ordering and Pickup

Through the Services, you may place orders for pickup or delivery (where available). When you place an order, you authorize us to charge the payment method you provide for the full amount of the order, including applicable taxes, fees, and gratuity. All orders are subject to acceptance and availability, and we may decline or cancel any order at our sole discretion. You are responsible for selecting an accurate pickup time and for collecting your order at the designated time; orders not collected within a reasonable period may be discarded, and we are not obligated to issue a refund. Pricing, availability, and menu items are subject to change without notice. We are not responsible for orders that are incorrect, spoiled, or otherwise unsatisfactory due to your failure to follow pickup instructions or provide accurate information. Delivery, where offered, is subject to a delivery area, minimum order, and fees, all of which will be disclosed before you submit your order.

10. Catering Orders

Catering orders are subject to availability, minimum order requirements, and advance notice, which will be communicated at the time of inquiry. Submitting a catering inquiry or request does not constitute a confirmed order; your catering order is confirmed only upon our written or verbal confirmation and, where applicable, receipt of a deposit. Catering pricing is based on the information you provide, including guest count, package selection, and add-ons; if the actual details differ from those confirmed, we may adjust pricing accordingly. You are responsible for providing accurate guest counts, delivery instructions, and any access or setup requirements. We are not responsible for delays or issues arising from inaccurate or incomplete information. Catering deposits are generally non-refundable, and cancellation terms will be specified in your catering confirmation or agreement. We reserve the right to substitute items of comparable quality and value when necessary.

11. Private Events

Submitting a private event inquiry through the Services does not constitute a booking. An event is confirmed only upon your receipt of a written event agreement or confirmation and payment of any required deposit. Private event pricing, menus, guest counts, timing, staffing, and policies are governed by a separate event agreement, which shall control in the event of any conflict with these Terms. Event deposits are typically non-refundable, and cancellation, rescheduling, and payment schedules will be set forth in the event agreement. You are responsible for the conduct of your guests and for any damage to property caused by you or your guests; you may be held financially responsible for such damage. We reserve the right to require event insurance, security, or other safeguards based on the nature of the event. Your event is not fully confirmed, and your final guest count is not locked in, until the event invoice is paid in full; until full payment is received, the guest count remains an estimate and is subject to change and to additional charges. Final food and beverage orders, menu selections, quantities, and all other event details must be confirmed with us no later than forty-eight (48) hours (and, for certain events, may require longer notice as specified in your event agreement) before the scheduled event date; changes or additions requested after that deadline may be subject to additional fees, may not be accommodated, or may be declined at our discretion. You are responsible for ensuring all confirmations are completed within the required timeframes.

12. Photography and Social Media Release

By entering the Premises or attending or participating in any event, gathering, MaMi Social Club function, networking event, class, dinner, or other function hosted by or at MaMi, you acknowledge that photographs, video, and audio recordings may be taken by us, our staff, or third parties acting on our behalf for marketing, promotional, advertising, archival, social media, website, and other commercial purposes. You consent to the use of your name, image, likeness, voice, and any statements made by you in any such recordings or photographs, in any and all media, without compensation, in perpetuity, unless you notify us in writing before the event that you do not consent. If you do not wish to be photographed or recorded, you must (a) notify us in writing before the event and (b) take reasonable steps to avoid being captured in photographs and recordings during the event; we will use reasonable efforts to honor your request but cannot guarantee that you will not appear in any photograph or recording, particularly in group or crowd settings. You waive any right to inspect or approve any use of your likeness and release us from any claim arising out of such use. If you are attending an event with minors for whom you are a parent or legal guardian, your consent extends to those minors, and you are responsible for notifying us in writing if you do not consent on their behalf.

13. Damage to Property and Equipment

You and your guests are responsible for the proper use of all furniture, decorations, linens, plates, glassware, flatware, rental equipment, audiovisual equipment, and any other property or equipment provided by or through MaMi (collectively, "Property"). You agree to pay the full replacement or repair cost for any Property that is broken, lost, stained, or damaged as a result of the acts or omissions of you or your guests, including without limitation broken furniture, damaged decorations, stained or torn linens, chipped or broken plates and glassware, damaged rental equipment, and damaged audiovisual equipment. You are responsible for the conduct of your guests at all times during the event and until all guests have departed. MaMi reserves the right to assess and invoice for any damage discovered during or after the event and to charge the payment method on file or retain any deposit to cover such costs. For private events, the event host or the individual who signed the event agreement shall be jointly and severally liable for all damage caused by their guests. We are not responsible for personal items left on the Premises.

14. Personal Property and Lost Items

You are solely responsible for your personal property and belongings while on the Premises or at any MaMi event, including coats, bags, electronics, vehicles, and valuables. MaMi is not responsible for any lost, stolen, damaged, or misplaced personal property, regardless of where it is left, including in dining areas, restrooms, parking areas, coat check, or event spaces. We are not a bailee of your property, and no bailment relationship is created by your presence on the Premises or by any coat check or storage service we may offer. If we find lost items, we may hold them for a limited time (generally up to thirty (30) days) at our discretion, after which they may be discarded or donated. We are not obligated to contact you regarding lost items and are not liable for items that are not claimed within that period or that are damaged or lost while in our possession. Valuable items should not be left unattended. You release us from any claim relating to lost, stolen, or damaged personal property.

15. Food Handling After Delivery

Once any food, beverage, or catering product has been delivered, picked up, served, or otherwise accepted by you or your representative (the "Transfer"), MaMi shall not be responsible or liable for spoilage, contamination, improper storage, improper reheating, improper cooling, temperature control, cross-contamination, allergen exposure, foodborne illness, or any other issue arising after the Transfer. You are solely responsible for the proper handling, storage, serving, and consumption of all products after the Transfer, including maintaining appropriate hot and cold holding temperatures, refrigerating perishable items promptly, discarding items that have been held at unsafe temperatures, and following any reheating or storage instructions provided. We may provide general handling guidance, but such guidance does not alter your responsibility for food safety after the Transfer. You acknowledge that food safety depends on factors outside our control once possession has transferred to you, and you assume all risk associated with post-Transfer handling.

16. Outdoor and Off-Premises Events

For events held outdoors or at off-premises venues, you acknowledge that weather, environmental, and site conditions may affect the event, including rain, extreme heat, cold, wind, humidity, insects, wildlife, uneven or inaccessible terrain, power failures, limited utilities, and other conditions beyond our control. You are responsible for providing or arranging for adequate shelter, power, water, access, parking, and any permits required for the venue, unless otherwise agreed in writing. We are not liable for delays, service interruptions, or quality issues arising from weather, site conditions, or venue limitations. Grills, generators, tents, and other equipment may be used at outdoor events only where permitted and safe; you are responsible for ensuring the venue permits such equipment and for any permits, fuel, or setup required. We may, at our sole discretion, modify, relocate, or discontinue service at an outdoor or off-premises event due to safety, weather, or logistical concerns, and we are not obligated to issue refunds in such circumstances except as provided in your event agreement. You should discuss contingency plans, including rain dates or indoor alternatives, with us before the event.

17. Children's Supervision

Parents, guardians, and accompanying adults are solely responsible for the supervision, safety, and conduct of children and minors in their care at all times while on the Premises or at any MaMi event, including during private events, Social Club gatherings, and catered functions. MaMi staff are not responsible for supervising children and cannot monitor their location or activities. Children must be accompanied and supervised at all times and must not be left unattended in dining areas, restrooms, parking areas, or any other part of the Premises. You are responsible for any damage, injury, or disruption caused by children in your care, and you may be held financially responsible for any resulting damage. We reserve the right to ask any party to remove a child whose conduct is disruptive or unsafe. High chairs, booster seats, and other accommodations are provided as available and do not constitute supervision by our staff.

18. Service Animals and Pets

Service animals, as defined under the Americans with Disabilities Act (ADA), are welcome on the Premises. You are responsible for the care, supervision, and conduct of your service animal at all times, including ensuring it is under your control and does not create a health or safety hazard or a disruption. We may ask whether the animal is a service animal required because of a disability and what work or task the animal has been trained to perform, to the extent permitted by law. Emotional support animals, comfort animals, therapy animals, and pets are not service animals under the ADA and are not permitted on the Premises except where we expressly allow them. We are not responsible for the conduct, damage, or injury caused by any animal, and you are responsible for any damage or injury caused by your service animal or any animal in your care. We reserve the right to require removal of any animal that is out of control, is not housebroken, or poses a direct threat to health or safety, in accordance with applicable law.

19. MaMi Social Club Membership

The MaMi Social Club is a membership-based community. Membership is subject to application, review, and approval at our sole discretion, and we may decline any application for any reason. Submission of an application does not guarantee acceptance. Membership benefits, events, pricing, and terms are subject to change at any time, and specific events or benefits may be limited, restricted, or discontinued without notice. Membership does not create any ownership, equity, partnership, or other proprietary interest in MaMi or the Social Club, and confers only the right to participate in membership activities subject to these Terms and any membership guidelines. Membership may be revoked, suspended, or terminated by us at any time, for any reason or no reason, including conduct that we determine, in our sole discretion, violates these Terms, the membership guidelines, or is otherwise detrimental to the community, and in such case any membership fees paid are non-refundable except where required by law. Membership is non-transferable, may not be resold, and may not be shared with or used by any person other than the named member; any attempt to transfer, resell, or share membership is void and may result in immediate termination. Membership fees are payable in advance and are generally non-refundable except where required by law. Membership does not guarantee access to any particular event; event registration may be subject to availability, additional fees, and separate terms. Members are expected to conduct themselves with respect toward other members, staff, and the community; harassment, discrimination, or disruptive behavior may result in immediate termination of membership without refund.

20. Gift Cards

Gift cards purchased through the Services are subject to the terms disclosed at the time of purchase and applicable law. Gift cards have no expiration date where prohibited by law; otherwise, expiration and maintenance terms will be disclosed at purchase. Gift cards are not redeemable for cash except where required by law, and any unused balance remains available for future purchases. Gift cards are the property of the bearer, and we are not responsible for lost, stolen, or unauthorized use of gift cards. Physical gift cards are shipped to the address you provide, and we are not responsible for delivery delays or losses caused by carriers or incorrect addresses. We reserve the right to void or cancel any gift card that we believe was obtained fraudulently or in violation of these Terms. Reloadable or digital gift cards may be subject to additional terms provided at the time of issuance.

21. Loyalty and Rewards Program

We may offer a loyalty or rewards program through which you can earn points, credits, or other benefits ("Rewards") based on qualifying purchases or activities. Participation is voluntary and may require registration. Rewards have no cash value, are not currency, and cannot be exchanged for cash except where required by law. Rewards are non-transferable, may not be sold, bartered, or assigned, and are tied to the individual account holder. The earning rate, redemption options, point values, and program rules are subject to change or termination at any time at our sole discretion, and we may modify, suspend, or discontinue the program or any benefit without notice or liability. Rewards may expire, and we may set expiration policies that we will disclose in the program terms; expired Rewards are forfeited. We reserve the right to cancel, suspend, or adjust Rewards or accounts where we believe fraud, abuse, manipulation, or violation of program rules has occurred, and to revoke any Rewards obtained through such conduct. Rewards are earned only on completed, paid transactions; returns, cancellations, or chargebacks may result in the reversal of associated Rewards. We are not liable for any inability to use Rewards, any loss of Rewards due to account closure, program changes, or expiration. Participation in the program constitutes acceptance of these Terms and any additional program terms we provide.

22. Payments, Billing, and Chargebacks

Payments for orders, reservations, catering, events, memberships, and gift cards are processed through a third-party payment processor. By submitting a payment, you authorize the payment processor to charge your selected payment method for the full amount, including applicable taxes, fees, and gratuity. We do not store full payment card data on our servers; payment information is handled by the payment processor in accordance with its own terms and security standards. You represent that you are authorized to use the payment method you provide. All amounts are charged in U.S. dollars unless otherwise stated. Prices are subject to change without notice, except for prices already confirmed for a specific order or event. If a payment is declined, returned, or charged back, we may cancel the associated order or service and pursue collection of any amounts owed. Your submission of an order, your signature on any proposal, quote, or event agreement, or your payment of a deposit constitutes your acceptance of the charges and the terms applicable to that transaction. Deposits are non-refundable except as expressly stated in these Terms or your event or catering agreement. You agree not to initiate a chargeback, payment reversal, or payment dispute with your bank or card issuer for any charge that you authorized and that was properly processed. If you initiate a chargeback or payment dispute in violation of this section, we may contest it, provide evidence of your authorization and the services rendered, and, where we prevail, you shall be responsible for all costs and expenses we incur in connection with the dispute, including reasonable attorneys' fees, collection costs, and chargeback or processing fees, to the maximum extent permitted by law. We may apply a fee for chargebacks or returned payments where permitted by law. Certain services may require a deposit or prepayment, which will be disclosed before you commit.

23. Pricing, Taxes, and Fees

All prices are stated in U.S. dollars and are subject to applicable sales tax, service charges, delivery fees, and other fees, which will be itemized before you complete a transaction. We reserve the right to correct errors in pricing or descriptions and to cancel orders resulting from such errors. For events and catering, quoted prices are estimates based on the information available at the time of the quote and are subject to revision based on final details, market conditions, and availability. Automatic gratuity may be applied to large parties, catering, and events and will be disclosed at the time of booking or on your final invoice. We are not responsible for typographical, photographic, or pricing errors and reserve the right to cancel or refuse any order placed at an incorrect price.

24. Promotions, Discounts, and Coupons

From time to time, we may offer promotions, discounts, coupons, or special offers ("Promotions"). Promotions are subject to the specific terms disclosed at the time they are offered, including eligibility, expiration, minimum purchase, and exclusions. Unless otherwise stated, Promotions: (a) are valid for a limited time only and expire automatically after the stated period; (b) may be used once per customer or account; (c) have no cash value and may not be exchanged for cash; (d) may not be combined with other offers, discounts, or Rewards unless expressly permitted; (e) apply only to qualifying items or orders; and (f) may not be transferred, sold, or bartered. We reserve the right to modify, suspend, or cancel any Promotion at any time, to limit quantities, and to refuse or reverse any Promotion that we believe was obtained through fraud, error, abuse, or violation of its terms. We are not liable for any inability to use a Promotion due to expiration, cancellation, or ineligibility. Promotions do not apply to taxes, gratuities, shipping, or other fees unless expressly stated.

25. Refunds and Returns

Because our products are perishable food and beverage items, all sales of food and beverages are final, and we are not obligated to issue refunds except where required by law or where we determine, in our sole discretion, that a refund is warranted due to an error on our part. If you believe an order was incorrect, incomplete, or otherwise unsatisfactory, you must notify us promptly, and we will evaluate the matter in good faith. Refunds, where issued, will be credited to the original payment method. Catering and event deposits are generally non-refundable, and any refund eligibility is governed by the applicable agreement. Membership fees are non-refundable except where required by law. Gift card balances are non-refundable except where required by law. We are not responsible for refunds for services provided by third parties, including delivery partners.

26. Allergens, Dietary Information, and Food Safety

Menu information, descriptions, and dietary designations provided on the Services are for general guidance only and may not be complete or current. Our kitchen handles common allergens, including but not limited to wheat, dairy, eggs, nuts, sesame, soy, fish, and shellfish, and we cannot guarantee that any item is free from a particular allergen due to shared equipment, preparation areas, and supplier practices. If you have a food allergy, sensitivity, or dietary restriction, you must inform our staff before ordering, and we will provide the information we have available; however, you assume all risk associated with consuming our products. We are not liable for any adverse health reaction resulting from consumption of our products. Nutritional information, where provided, is approximate and may vary. We follow applicable food safety regulations, but you acknowledge that food preparation inherently involves some risk.

27. Alcohol Service and Customer-Provided Alcohol

Where alcohol is offered, service is subject to applicable law, and we reserve the right to refuse service to anyone, including any person who appears intoxicated or is under the legal drinking age. You represent that you are of legal drinking age in your jurisdiction. We are not responsible for any consequences of alcohol consumption, including conduct occurring after you leave our premises. For events where alcohol is served, additional terms, insurance, and security requirements may apply and will be set forth in the event agreement. We may limit or discontinue alcohol service at any time at our discretion. Outside alcohol may not be brought onto the Premises without our prior written consent and may be subject to corkage fees. Where we permit you or your guests to bring your own alcohol ("BYOB"), you and the event host are solely and fully responsible for: (a) obtaining any permits, licenses, or approvals required by applicable law or the venue; (b) verifying the age and identity of all persons consuming alcohol and preventing service to minors and intoxicated persons; (c) complying with all applicable federal, state, and local laws regarding the service, possession, and consumption of alcohol; (d) the safe and lawful service and consumption of such alcohol; and (e) all liability arising from the service or consumption of customer-provided alcohol, including any injury, damage, or violation of law. MaMi, its staff, and its agents are not responsible for monitoring, serving, or controlling customer-provided alcohol and shall not be liable for any consequences of its service or consumption. You agree to indemnify and hold us harmless from any claims arising from customer-provided alcohol, as provided in the Indemnification section.

28. Delivery and Third-Party Services

Delivery, where available, may be provided by us or by third-party delivery partners. We are not responsible for the acts or omissions of third-party delivery partners, including delays, errors, or losses occurring after an order leaves our premises. Third-party services may be subject to their own terms and policies, which you should review. We may discontinue or modify delivery availability at any time. Delivery times are estimates and are not guaranteed; we are not liable for delays caused by traffic, weather, or other factors outside our control. You are responsible for ensuring someone is available to receive the delivery at the designated location and time.

29. Intellectual Property

All Content on the Services, including text, graphics, images, logos, designs, menus, photography, video, audio, software, and the overall look and feel of the Services, is owned by or licensed to MaMi and is protected by applicable copyright, trademark, and other intellectual property laws. The MaMi name and logo are trademarks of MaMi Hospitality LLC. You may not reproduce, distribute, modify, display, perform, transmit, or otherwise use any Content without our prior written consent, except as necessary to use the Services for their intended purpose. You may not use our trademarks, name, or Content in any manner that implies endorsement, sponsorship, or affiliation without our prior written approval. Any unauthorized use is strictly prohibited and may violate applicable law.

30. User-Submitted Content and Communications

By submitting your contact information, subscribing to our newsletter, posting reviews, or otherwise communicating with us through the Services, you consent to receive communications from us, including marketing communications, and you grant us a non-exclusive, royalty-free, worldwide, perpetual, and transferable license to use, reproduce, display, and distribute any content you submit for the purposes of operating and promoting the Services. You represent that any content you submit is your original work or that you have the right to submit it, and that it does not infringe any third-party rights. You may unsubscribe from marketing communications at any time using the link provided in each communication or by contacting us. We will not sell your personal information to third parties. We may use and share your information as described in our Privacy Policy.

31. SMS and Text Message Communications

By providing your phone number and opting in, you consent to receive recurring automated and non-automated SMS or text messages from MaMi at the number you provide, including marketing messages, order updates, reservation reminders, and other communications. Message frequency varies. You acknowledge that standard message and data rates may apply based on your mobile carrier plan, and that you are responsible for any such charges. You may opt out of receiving text messages at any time by replying "STOP" to any message, by following the opt-out instructions in any message, or by contacting us. If you opt out, you may still receive non-marketing transactional messages (such as order confirmations) where necessary. You represent that you are the owner or authorized user of the phone number you provide and that you have the right to consent to receive messages at that number. We are not liable for any duplicate, delayed, or undelivered messages, or for any mismatched or reassigned phone numbers. We may modify or discontinue text messaging at any time. Carriers are not liable for delayed or undelivered messages.

32. Reviews and Feedback

If you submit reviews, ratings, or other feedback, you grant us a perpetual, irrevocable, royalty-free license to use, reproduce, modify, publish, and display that feedback in connection with the Services and our marketing. You agree not to submit false, misleading, defamatory, or infringing content, and you acknowledge that we may remove or edit feedback at our discretion. We are not responsible for the content of user-submitted reviews and do not endorse any particular review. We may use feedback to improve our services without any obligation to compensate you.

33. Privacy and Data

We collect, use, and protect personal information as described in our Privacy Policy, which is incorporated into these Terms by reference. We collect only the information necessary to respond to inquiries, process orders, provide our services, and comply with legal obligations. We take reasonable measures to protect your information but cannot guarantee absolute security, and you acknowledge that no method of transmission or storage is completely secure. We do not store full payment card data on our servers. You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your account. Where required by law, we will provide additional notices regarding data collection and use.

34. Third-Party Links and Content

The Services may contain links to third-party websites, services, or content that we do not control. We are not responsible for the content, accuracy, policies, or practices of any third-party site or service, and your use of third-party sites is at your own risk and subject to their terms. We do not endorse and are not liable for any third-party content. Any transactions or interactions you have with third parties are solely between you and that third party. If you leave the Services, these Terms no longer govern.

35. Disclaimers

THE SERVICES AND ALL CONTENT, PRODUCTS, AND SERVICES OFFERED THROUGH THEM ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS, AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT, MENU INFORMATION, PRICING, OR AVAILABILITY INFORMATION. YOU USE THE SERVICES AT YOUR OWN RISK. APPLICABLE LAW MAY NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, IN WHICH CASE SOME OR ALL OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

36. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MAMI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, ANY ORDER, RESERVATION, EVENT, MEMBERSHIP, OR GIFT CARD, OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR OTHERWISE, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

37. Indemnification

You agree to indemnify, defend, and hold harmless MaMi and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms or any applicable law; (c) your violation of any third-party right, including intellectual property or privacy rights; (d) any content you submit; (e) any order, reservation, or event you place or host; (f) the conduct of you or your guests; (g) any damage to Property caused by you or your guests; or (h) the service or consumption of customer-provided alcohol. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses. You may not settle any matter without our prior written consent.

38. Release

To the fullest extent permitted by law, you release MaMi and its affiliates, officers, directors, employees, agents, suppliers, and licensors from any claims, demands, or damages arising out of or in connection with your use of the Services, any dispute with other users, or any interaction with third parties through the Services. You waive any rights you may have to bring a claim as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

39. Governing Law and Venue

These Terms and any dispute arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles. You and MaMi agree to submit to the exclusive jurisdiction of the state and federal courts located in Bergen County, New Jersey, for the resolution of any dispute, and you waive any objection to venue or inconvenient forum in those courts. If any provision of this section is found to be unenforceable, the remaining provisions shall continue in full force and effect.

40. Dispute Resolution and Arbitration

Except for matters that may be brought in small claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules then in effect, and judgment on the award may be entered in any court having jurisdiction. The arbitration shall be held in Bergen County, New Jersey. YOU AND MAMI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding. If this class action waiver is found to be unenforceable, then the entirety of this dispute resolution section shall be null and void, and the dispute shall be resolved in the courts described in the governing law section. The Federal Arbitration Act governs this section.

41. Force Majeure

We shall not be liable for any delay or failure to perform our obligations under these Terms where such delay or failure results from causes beyond our reasonable control, including acts of God, natural disasters, weather, fire, flood, earthquake, pandemic, epidemic, or other public health emergency, labor disputes, strikes, supply shortages, governmental actions, civil unrest, terrorism, war, utility failures, internet or telecommunications failures, or other circumstances beyond our control. In such events, we may suspend or modify our services without liability, and any deadlines or obligations will be extended for a reasonable period.

42. Website Accessibility

We are committed to making the Services accessible to all users and strive to comply with applicable accessibility standards, including the Web Content Accessibility Guidelines (WCAG). We continually work to improve the accessibility and usability of the Services. However, we do not warrant that the Services are accessible to or usable by all persons in all circumstances, and some features may not be fully accessible. If you have difficulty accessing any part of the Services, please contact us at hello@mami-hospitality.com or (201) 266-8931 and we will make reasonable efforts to assist you, including providing information in an alternative format where feasible. We welcome your feedback on how to improve accessibility. The Services are provided on an "as is" basis with respect to accessibility, and we are not liable for any inability to access or use the Services, except as required by applicable law. Nothing in these Terms is intended to create any accessibility obligation beyond what is required by applicable law.

43. Changes to These Terms

We may update or modify these Terms at any time at our sole discretion. The most current version will be posted on this page with an updated effective date. Your continued use of the Services following the posting of any changes constitutes your acceptance of the revised Terms. If we make material changes, we may provide additional notice, such as on the Site or by other means, but we are not obligated to do so. You are responsible for reviewing these Terms periodically. If you do not agree to the updated Terms, you must stop using the Services. Any changes will not apply retroactively to transactions already completed.

44. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be severed, and the remaining provisions shall continue in full force and effect. The invalidity of any provision in one jurisdiction does not affect its validity in any other jurisdiction.

45. Entire Agreement

These Terms, together with our Privacy Policy and any specific agreements, event contracts, or terms provided in connection with particular services, constitute the entire agreement between you and MaMi regarding the Services and supersede all prior or contemporaneous understandings, communications, and agreements, whether written or oral, regarding that subject matter. Our failure to enforce any right or provision of these Terms at any time shall not be considered a waiver of that right or provision. Any waiver must be in writing and signed by us.

46. Assignment

You may not assign, transfer, or sublicense these Terms or any of your rights or obligations under them without our prior written consent. We may assign or transfer these Terms or any of our rights or obligations without restriction, including in connection with a merger, acquisition, sale of assets, or other transaction. Any attempted assignment in violation of this section is void. These Terms bind and inure to the benefit of the parties and their permitted successors and assigns.

47. No Third-Party Beneficiaries

These Terms are for the benefit of you and MaMi only and are not intended to confer any rights or remedies upon any other person or entity. No person or entity other than you and MaMi shall have any right to enforce any provision of these Terms.
